These Terms of Service ("Terms") govern your use of the Saint Thomas Advisors website and engagement of our professional services. By using our website or services, you agree to these Terms.

1. Services

Saint Thomas Advisors LLC provides software development, web design, security assessments, cloud deployment, and technical consulting services. The specific scope, deliverables, timeline, and fees for each engagement are defined in a written proposal or statement of work mutually agreed upon before work begins.

2. Pricing & Payment

• All fees are quoted in U.S. dollars and provided in writing before work begins
• Fixed-price projects require a 50% deposit to commence, with the remaining balance due upon delivery
• Monthly retainer fees are billed at the beginning of each billing period
• Invoices are payable within 14 days of receipt unless otherwise specified
• Late payments may incur a 1.5% monthly fee on outstanding balances

3. Intellectual Property

Upon receipt of full payment:

• You own all custom code, designs, and deliverables created specifically for your project
• We retain the right to use general-purpose tools, techniques, and non-proprietary components in future work
• We may reference the project in our portfolio (without disclosing confidential information) unless you opt out in writing

4. Confidentiality

Both parties agree to keep confidential any proprietary information shared during an engagement, including business plans, credentials, source code, and technical architecture. This obligation survives termination of the engagement.

5. Warranties & Disclaimer

We deliver work with reasonable skill and care. However, services are provided "as is" without warranties of any kind, express or implied, including implied warranties of merchantability or fitness for a particular purpose.

6. Limitation of Liability

Our total aggregate liability for any claim arising out of or related to our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim. In no event shall we be liable for indirect, incidental, special, or consequential damages.

7. Revisions & Scope Changes

Each engagement includes revision rounds as specified in the proposal. Work requested beyond the agreed scope will be quoted separately and requires written approval before proceeding.

8. Termination

Either party may terminate an engagement with 7 days' written notice. Upon termination, you will be invoiced for all work completed to date. Deposits for work already performed are non-refundable.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be reflected by an updated effective date on this page. Continued use of our services after changes constitutes acceptance.
